It is important that you take the process of verifying identity very seriously as there are very serious consequences including a large number of offences that may be committed if information provided by you is not complete, truthful and accurate.

Before a Product or Service Provider can provide you with products or services, it may be necessary to verify your identity in accordance with various legislative and regulatory requirements as well as their own procedures and policies for the provision of products and services. For financial products or services provided by a financial institution these requirements may relate to the Anti-Money Laundering and Counter-Terrorism Financing Act 2006 which requires certain reporting entities to collect information about their potential customers and to verify their potential customers identity before they can provide potential customers with financial products or services. If you are entering into a Conveyancing Transaction, a Product or Service Provider may be required by to collect information about you and verify your identity before it can assist with or complete your Conveyancing Transaction in accordance with requirements set out in a Listed Instrument or Circular or other legislative or regulatory requirements.

Max ID Pty Limited (ABN 686 1450 5761) (“Max ID”, “us”, “we” or “our”) has, may or will be appointed by a Product or Service Provider as its Verification Agent for the purposes of an Identity Verification in order that the Product or Service Provider is able to assist with or complete the provision of the products or services that you may obtain or receive from them. Max ID may also engage the services of Max ID’s External Product and Service Providers.

These terms and conditions govern your use of the systems and processes made available by Max ID and its product and service providers for the purposes of performing an Identity Verification in respect of you. These terms and conditions are deemed to incorporate the Max ID Website Terms of Use available at www.maxid.com.au. By agreeing to these terms and conditions you are deemed to have agreed to the Max ID Website Terms of Use, as amended from time to time, including the meaning given by those Website Terms of Use where use of the words electronic systems is taken to include the Identification Facilities. By agreeing to these terms and conditions you are deemed to have read, acknowledged and understood the Privacy Policy of Max ID. Many of the offences described below have very serious penalties including imprisonment. Relevant legislation includes but is not limited to the Anti-Money Laundering and Counter-Terrorism Financing Act 2006, the Financial Transaction Reports Act 1998 (Cth), the Criminal Code Act 1995 (Cth) and various state based Crimes Acts and Criminal Codes.

Examples of offences include theft, stealing, dealing in identification information, obtaining a financial advantage by deception, making a false instrument, using a false instrument, fraudulent misappropriation, obtaining money by deception, obtaining credit by fraud, criminal deception, unlawfully altering data processing material with fraudulent intent, obtaining money by false or misleading statements, obtaining credit by fraud, false pretences, fraudulent personation, forging and uttering, using a false instrument, false pretences, dishonestly acquiring a financial advantage, obtaining property by deception and many others.

Where suspicious activity is detected the activity will be reported to relevant authorities including but not limited to relevant State and/or Federal Police and Austrac.

Improper use of the Identification Facilities may also lead to civil proceedings undertaken by one or more entities.

Who we are and capacity in which we provide the Identification Facilities

1. Max ID is an incorporated legal practice that has, may or will be appointed by a Product or Service Provider as its Verification Agent for the purposes of verifying your identity. We are, may or will be providing services including those as an Identity Agent to a Product or Service Provider in accordance with a Legal Services Agreement and not to you, notwithstanding that you have agreed to these Terms of Use. For the purposes of these terms and conditions any right, benefit, indemnity or limitation accruing to Max ID pursuant to these terms and conditions shall also accrue to the officers, employees and contractors of Max ID.

2. In consideration for granting you access the Identification Facilities, you agree by selecting the “Agree to Terms and Conditions” to be contractually bound by these Terms of Use and acknowledge that MaxID has no obligation to provide any products or services to you that are outside your access to the Identification Facilities, including any information relating to whether your identity has been verified or not and/or any reasons why your identity has been verified or not.

How we verify your identity?

3. By selecting Continue after you have agreed to the Terms of Use by selecting “Agree to Terms and Conditions” you will be granted access to the Identification Facilities and will be able to use them. If you do not agree to the Terms of Use you will not be able to select “Continue” and will not be entitled to use the Identification Facilities.

4. You will use the Identification Facilities to provide identifying information and Documents to Max ID, MaxID’s External Product and Service Providers and any Product or Service Provider. Nothing in this clause 4 shall be interpreted as limiting the persons with whom Max ID may share your Personal Information.

5. Providing false or misleading information about your identity is an offence under applicable legislation, including but not limited to the Anti-Money Laundering and Counter-Terrorism Financing Act 2006. Nothing in these Terms of Use shall prevent MaxID or any other person from reporting a suspicion that you have provided false or misleading information or otherwise commencing proceedings where it is suspected you have provided false and misleading information.

What identifying information do we collect?

6. We may collect Information Requested by the Identification Facilities from you including but not limited to the following information:
a) Your name;
b) Address;
c) Date of birth;
d) Images;
e) Biometrics;
f) Details relating to your Documents including Government Identifiers; and
g) other information and Documents.

What Documents are required?

7. This will depend on your individual facts and circumstances and which combinations of original and unexpired Documents you have available. The Documents may include 2 or more of:
a) Australian Passport (Note: acceptable if expired within the past 2 years in most States);
b) Foreign Passport;
c) Australian Drivers Licence;
d) Australian Photo Card;
e) Australian government issued identity document;
f) Medicare Card;
g) Permanent Resident Immi Card;
h) Centrelink Card;
i) Department of Veterans Affairs Card;
j) Citizenship certificate;
k) Descent certificate;
l) Government issued photographic identity document;
m) Marriage or Change of Name certificate;
n) Australian Full Birth Certificate;
o) such other identification document that the Identification System may accept from time to time;
(each a Document, which may be further defined in the Identification Facilities and may include any English translation prepared by an accredited translator)

8. You agree to provide complete, true and accurate details in relation to any Document and any Personal Information requested when using the Identification Facilities and you acknowledge that Max ID and any Product or Service Provider shall be entitled to rely on the truthfulness, completeness and accuracy of any Document and any Personal Information you provide when using the Identification Facilities. You agree that you will not use the Identification Facilities to create or maintain a false identity or impersonation of any person or otherwise facilitate such potential outcomes.

Who we may pass on your information to?

9. Your personal information will be dealt with in accordance Privacy Policy of Max ID.

10. You consent to terms of the Privacy Policy of Max ID and you agree to your identifying information being checked with the issuer or Official Record Holder. You consent to Max ID’s External Product and Service Providers and any Product or Service Provider recording, using and disclosing your information in relation to the verification of your identity and the provision of products and services.

11. Any recording, use or disclosure of your information by Max ID’s External Product and Service Providers or any Product or Service Provider will be in accordance with their own privacy policies (if they have one) and subject to their own legal obligations over which you acknowledge that Max ID has no control, ability to enforce or ability to change.

What are you required to do to utilise the Identification Facilities?

12. In order to finish using the Identification Facilities you will be required to complete the following steps:
a) access the Identification Facilities utilising a handheld device with web-browsing capabilities, an enabled GPS chip and an enabled camera (in addition to any other requirements or specifications that the Identification Facilities may require);
b) complete, using a handheld device, the Information Requested by the Identification Facilities;
c) obtain, using a handheld device, images of Documents and allow those images to be provided to the Identification Facilities. Please note that you will not be able to upload pre-existing photographs of any Document;
d) by selecting “Submit” you agree that the Verification Agent or the Verification Sub-Agent may access the Identification Facilities. Whilst accessing the Identification Facilities you agree and acknowledge that the Verification Agent or the Verification Sub-Agent are and will be entitled to view the information and Documents that you have provided using the Identification Facilities and that the Verification Agent or the Verification Sub-Agent is entitled to take one or more images of you;
e) by selecting “Submit” you agree to allow the Verification Agent or the Verification Sub-Agent to view the originals of the Documents and compare them to the information and Documents that have been provided using the Identification Facilities;
f) by selecting “Submit” you represent and warrant that you are either an Australian permanent resident or Australian citizen;
g) by selecting “Submit” you represent and warrant that any Document you have provided is in English;
h) by selecting “Submit” you agree that during an in person interview conducted by the Sub Agent you will procure that the Sub Agent takes a photograph of you that is a true and fair depiction of you;
i) by selecting “Submit” you agree that you will not permit the Verification Agent or the Verification Sub-Agent to use the same handheld device to access the Identification Facilities as you have used to access the Identification Facilities Please note that the Verification Agent or the Verification Sub-Agent should not attempt to access the Identification Facilities using the same handheld device as the one that you have utilised.

13. The Identification Facilities are not configured to retain images, Documents or information provided to the Identification Facilities on the device used by you or the Verification Agent or the Verification Sub-Agent. The Identification Facilities are configured so that the images, Documents and/or information are uploaded directly to the Identification Facilities and stored by the Verification Agent and or the Product and Service Provider in accordance with their policies and procedures, including (where relevant a privacy policy) and the requirements of the Anti-Money Laundering and Counter-Terrorism Financing Act 2006 and/or a Listed Instrument or Circular.

14. You acknowledge and agree that you have been provided with and have received a full and complete written copy of these Terms of Use when the Terms of Use are accepted. You acknowledge and agree that should any further copy of these Terms of Use be required any request must be made by email to the Legal Director Email Address and that the email request will only be considered if it contains your accurate personal details and the unique MaxID job identifier provided to you when you complete using the Identification Facilities.

15. You may be asked to nominate a Natural Person to act as the Verification Sub-Agent. By selecting “Submit” you represent and warrant that any person you nominate is a Natural Person. We and/or any Product or Service Provider may, in our/their absolute discretion, refuse to accept your nominated Natural Person to act as the Verification Sub-Agent and instead nominate a Natural Person to act as the Verification Sub-Agent.

What are you required to do when you have uploaded the Information Requested by the Identification Facilities?

16. You are required to elect to “Submit” in order to upload Information Requested by the Identification Facilities and in certain circumstances you may be requested to make a payment on behalf of a Product or Service Provider.

17. After using the Identification Facilities, you will be required to meet with the Verification Agent or its’ Verification Sub-Agent for the purposes of completing a face-to-face in-person interview where information and Documents provided by you utilising the Identification Facilities will be made available on a device related to the Verification Agent or it’s Verification Sub Agent (the Verification of Identity Interview).

18. During the Verification of Identity Interview you agree to produce each of the originals of the Documents provided using the Identification Facilities to the Verification Agent or the Verification Sub-Agent and allow them to view those original Documents.

19. During the Verification of Identity Interview you agree to allow the Verification Agent or the Verification Sub-Agent to take an image of you.

20. Whether appointed by you or notified to you, you will be required to arrange to meet the Verification Agent or the Verification Sub-Agent at a time and place that is mutually convenient to you and the Verification Agent or the Verification Sub-Agent, in order to complete the Verification of Identity Interview.

Indemnity

21. You agree to indemnify and hold harmless each of any Product or Service Provider who engages us, Max ID, where relevant the Verification Sub-Agent and Max ID’s External Product and Service Providers for all losses (including consequential losses), liabilities, claims, damages, costs or expenses (including interest where applicable) however caused or arising from your misuse, fraudulent use, negligent, incomplete or inaccurate use of the Identification Facilities or breach of these Terms of Use including but not limited to you making any representation and warranty that is not true, complete and accurate.

22. Any such indemnity is payable on demand and shall inure for the benefit of our insurers and assignees and you grant them a right of subrogation in respect of the indemnity and any breach of these Terms of Use by you.

Exclusion of Liability

23. Each Product or Service Provider who engages us, Max ID, where relevant the Verification Sub-Agent and Max ID’s External Product and Service Providers are not responsible:
a) if you fail to use these Identification Facilities in accordance with these Terms of Use;
b) for any fraudulent or other illegal activities conducted by you in using the Identification Facilities;
c) if for any reason the results of the Identity Verification are incorrect; or
d) if we are unable to complete the Identity Verification for any reason.

24. Access to the Identification Facilities requires connection to the internet and the use of a device and may require third party services which may require the payment of fees and be subject to other terms and conditions. You agree and acknowledge that MaxID is not liable to you or any third parties for any fees or other costs incurred by the you as a consequence of your access and use of the Identification Facilities using any device. You agree and acknowledge that MaxID does not accept responsibility for any damage to any device arising as a result of or in connection with your access to the Identification Facilities or the provision of the services.

No representations and Warranties

25. To the extent permitted by law, none of a Product or Service Provider who engages us, Max ID, where relevant the Verification Sub-Agent or Max ID’s External Product and Service Providers make any representation or warranties, either express or implied:
a) in relation to the quality, merchantability, performance or fitness for purpose of the Identification Facilities;
b) that the Identification Facilities will meet your requirements;
c) that your use of the Identification Facilities will be uninterrupted or error-free; or
d) regarding the interoperability, compatibility or coexistence with your operating system or particular network environment or hardware.

26. You represent and warrant that you are not a politically exposed person, have never committed a fraud, do not have a criminal record, are the person who you say you are when using the Identification Facilities, will not produce any document you know or ought reasonably know is not genuine, and will act in compliance with all laws.

27. To the extent there is any inconsistency between these Terms of Use, the Privacy Policy of Max ID and the Website Terms of Use, these Terms of Use shall prevail.

28. These Terms of Use may be amended from time to time by Max ID. In such circumstances the Terms of Use in operation at the time that you “Agree to Terms and Conditions” shall be the applicable Terms of Use, nothing in this clause 28 shall give any person standing to rely on any previous version of the Terms of Use or any subsequent version of the Terms of Use.

29. You acknowledge that you have entered into these Terms of Use in order to use the Identification Facilities at your own volition having exercised independent judgement and without reliance on any representation that is not expressly made in these Terms of Use. You agree and acknowledge nothing in these Terms of Use or the use of the Identification Facilities constitutes an unsolicited contract or service.

30. You consent to Max ID providing services, including those as an Identity Agent, to a Product or Service Provider in accordance with a Legal Services Agreement. Nothing in these Terms of Use will give rise to a conflict of interest between you and Max ID, notwithstanding that Max ID may have entered into a Legal Services Agreement with a Product or Service Provider.

31. Nothing in these Terms of Use constitute the provision of legal services to you and the use of the Identification Facilities do not constitute the provision of legal services to you.

32. Max ID may assign the benefit of these Terms of Use to any person and you consent to such assignment. Any assignee may rely on these Terms of Use as if they were an original party to these Terms of Use.

33. These Terms of Use and the use of the Identification Facilities may be terminated at any time by Max ID in its absolute discretion.

34. Max ID will not be liable for any losses (including consequential losses), liabilities, claims, damages, costs, expenses (including interest where applicable), loss of bargain or loss of opportunity however caused or arising from or associated with such termination.

35. Clauses 5, 6, 8, 9, 10, 11, 21, 23, 24, 25, 26, 27, 29, 30, 31, 34, 34, 36, 42 and 43 survive termination of these Terms of Use by any party.

36. If one or more provisions of these Terms of Use are held to be unenforceable under applicable law, such provision, or such portion of such provision as may be necessary, shall be excluded from these Terms of Use and the balance of the Terms of Use shall be interpreted as if such provision were so excluded and shall be thereafter enforceable in accordance with its terms.

37. Unless the context requires otherwise, these Terms of Use and any document, including, but not limited to, the Website Terms of Use and the Max ID Privacy Policy, referenced in these Terms of Use represent the entire agreement between you and Max ID.

38. These Terms of Use shall be governed by the laws in effect in New South Wales, Australia.

39. You consent to the exclusive jurisdiction of the courts of New South Wales, Australia and any courts with competent jurisdiction to hear matters of appeal from the courts of New South Wales, Australia.

40. These Terms of Use are accepted by you by clicking “Agree to Terms and Conditions”, as such you consent to digital execution of the agreement constituted by these Terms and Conditions. In any event the agreement formed by these Terms of Use may be executed in counterparts, each of which shall be deemed an original all of which together shall constitute one and the same agreement.

41. These Terms of Use and the agreement constituted by them may executed by Max ID by digital means, including, but not limited to, by granting you access to the Identification Facilities. In any event the agreement formed by these Terms of Use may be executed in counterparts, each of which shall be deemed an original all of which together shall constitute one and the same agreement.

42. Where we agree to accept a payment from you and you pay by credit card, you agree to the following terms relating to credit card payments by direct debit:
(a) We will debit your nominated account in accordance with your direct debit request with us and any other amounts that are payable by you in accordance with these Terms of Use (“Direct Debit Request”);
(b) We will keep all information relating to your nominated account confidential, except where required for the purposes of conducting direct debits with your financial institution or in connection with claims made on us relating to an alleged incorrect debit;
(c) You acknowledge and agree that direct debits can be made from your nominated account and that the account details provided by you are correct;
(d) You acknowledge that there are sufficient funds available in the nominated account to allow payments to be made in accordance with your Direct Debit Request;
(e) If there have been two failed direct debit transactions (that is we cannot withdraw the nominated amount from your nominated account) due to insufficient funds you must setup a new Direct Debit Request or use alternative payment methods so that we can process your payment. We may (at our sole discretion):
(i) cancel the Direct Debit Request;
(ii) impose a fee or charge; or
(iii) charge interest on any amounts owed in accordance with these Terms of Use.


You need to let us know as soon as possible if the nominated account is transferred or closed or your account details change. Please contact us in writing at mail@maxid.com.au if you would like to change your Direct Debit Request or, subject to clause 43, if you believe there is an error in debiting your nominated account.

43. You agree that where we accept payment from you whilst or after using the Identification Facilities we are accepting that payment on behalf of a Product or Service Provider that we have a Legal Services Agreement with or will request a Legal Services Agreement with as a result of your use of the Identification Facilities. The relevant Product or Service Provider is described in the Identification Facilities as the “Principal” or the person to whom your identity is being verified. Where we accept payment on behalf of a Product or Service Provider or potential Product or Service Provider nominated by you, you agree to undertake all correspondence with the Product or Service Provider and to make any request for a tax invoice from them in relation to amounts accepted on their behalf. Nothing in this agreement or our acceptance of payment from you on behalf of a third party that has or enters into a Legal Services Agreement with us within 21 days of the date you use the Identification Facilities shall be construed as creating any obligation between us and you to reimburse or repay moneys accepted by us on behalf of a third party. You agree and shall treat any request for refund or reimbursement of any payments accepted by us on behalf of a third party as a debt or potential debt owed between the third party and you unless that third party has not accepted the terms of our Legal Services Agreement within 21 days of the date you use the Identification Facilities. Where we have accepted payment from you on behalf of a third party and that third party has not accepted the terms of our Legal Services Agreement after the day which is 21 days after you use the Identification Facilities and a request for repayment, refund or reimbursement is made by you in writing (as described below) we will repay the amount accepted as payment from you in a manner determined by us, without payment of any interest within a reasonable time and after deducting any costs determined by us to have been incurred by us as a result of your use of the Identification Facilities including but not limited amounts payable to MaxID’s External Product and Service Providers. Where any such costs are incurred we will issue you a tax invoice for those costs at the time of making any refund, repayment or reimbursement of payments accepted by us. You agree that any requests for a repayment, refund or reimbursement will only be made in writing to us at mail@maxid.com.au and that MaxID is only required to consider such requests if they are accurate and are made together with evidence of the amount paid by you, evidence that the Product or Service Provider has not accepted the terms of our Legal Services Agreement by the 21st day after you use the Identification Facilities, an agreement and undertaking that no amounts have been or will be recovered from the Product or Service Provider, the reference code supplied to you associated with your use of the Identification Facilities, the details of the credit card that was used to make the payment and the date you used the Identification Facilities. Furthermore you agree that prior to us being obliged to make repayment or reimbursement of amounts described above you will provide any other information reasonably requested by us.

Definitions

The following definitions shall be used in these Terms of Use: Australian Consumer Law means Schedule 2 to the Competition and Consumer Act 2010 (Cth) and the corresponding provisions of the Fair Trading (Australian Consumer Law) Act 1992 (ACT) or any other state or territory as applicable.

Australian Privacy Act means the Privacy Act 1988 (Cth).

Australian State or Territory Authority means State or Territory Authority as defined in the Australian Privacy Act.

Conveyancing Transaction means a transaction that involves one or more parties and the purpose of which is:
(a) to create, transfer, dispose of, mortgage, charge, lease or deal with in any other way an estate or interest in land, or
(b) to get something registered, noted or recorded in the titles register, or
(c) to get the registration, note or record of something in the titles register changed, withdrawn or removed.
Document means any record of information however recorded, and includes:
(a) anything on which there is writing, or
(b) anything on which there are marks, figures, symbols or perforations having a meaning for persons qualified to interpret them, or
(c) anything from which sounds, images or writings can be reproduced with or without the aid of anything else, or
(d) a map, plan, drawing or photograph, or
(e) any record of information that exists in a digital form and is capable of being reproduced, transmitted, stored and duplicated by electronic means.

Government Identifiers means a government related identifier as defined in the Australian Privacy Act from time to time and at the time of publishing these Terms of Use being an identifier of an individual that has been assigned by:
(a) a Commonwealth Government agency;
(b) an Australian state or territory;
(c) an agent of a Commonwealth government agency or an Australian state or territory authority, acting in its capacity as an agent, or
(d) a contracted service provider for an Australian Commonwealth or state or territory contract, acting in its capacity as a contracted service provider for that contract.

Identification Facilities means the electronic systems made available by Max ID or by MaxID’s External Product and Service Providers that are used for identity verification in connection with an engagement or potential engagement of Max ID as an Identity Agent by a Product or Service Provider.

Identity Verification means the confirmation of a person’s identity in accordance with the requirements of the Anti-Money Laundering and Counter-Terrorism Financing Act 2006, a Listed Instrument or Circular and any other applicable laws, and includes the use of Documents and any other means to verify the Personal Information of the person whose identity is being verified.

Information Requested by the Identification Facilities means any information provided while using or collected by the Identification Facilities including but not limited to Personal Information, Government Identifiers, biometric information, meta data, device information and Documents.

Legal Director means the person so nominated to the Law Society of New South Wales by Max ID from time to time.

Legal Director Email Address means legaldirector@maxid.com.au.

Legal Services Agreement means a Costs Disclosure, Legal Services and Verification Agency Agreement Legal Services or similar agreement between Max ID and a Product or Service Provider.

Listed Instrument or Circular means in relation to the state or territory relevant to a Conveyancing Transaction the Provisions listed below or as amended from time to time and appearing at https://maxid.com.au/updated-listed-instruments/:

Max ID’s External Product and Service Providers means any person or entity engaged either directly by Max ID to provide services or products to Max ID or indirectly as a result of being engaged by any person or entity who is directly or indirectly engaged to provide services or products by those persons or entities engaged directly by MaxID to provide services or products.

Natural Person means a natural person who must be over 18 years old, who is not a politically exposed person, has never committed a fraud, is not otherwise subject to any legal incapacity, has no criminal record, is not a bankrupt, is not a person of disrepute and is not a disqualified person as defined under section 6 of the Legal Profession Uniform Law (NSW) or any equivalent definition in any other state of Australia

Official Record Holder means in respect of any information or document, the entity against whose official record data the information or document submitted in any request to match any information or document.

Personal Information has the meaning defined in the relevant Privacy Law.

Privacy Policy of Max ID means the policy adopted by Max ID as its Privacy Policy as amended from time to time and available at www.maxid.com.au.

Privacy Law means the Australian Privacy Act and any other privacy law relating to privacy which you or we are subject to.

Product or Service Provider includes, but is not limited to, financial institutions, legal practitioners, conveyancers, real estate agents, lenders of record, trustees, brokers, advisers, representatives.

Terms of Use means these terms of use which constitute a valid and binding agreement between you and Max ID.

Verification Agent means Max ID for all states and territories of Australia, excluding certain transactions in South Australia. In the case of any use of the Identification Facilities by you in relation to a paper based Conveyancing Transaction for a property located in South Australia, the Verification Agent shall be the Legal Director of Max ID (acting as a Legal Practitioner in his/her role as Legal Director of Max ID).

Verification of Identity Interview means the in-person face-to-face meeting you attend with the Verification Agent or the Verification Sub-Agent at which you will be required to produce the Documents and complete the steps set out in clauses 17 to 20.

Verification Sub-Agent means a Natural Person that has been appointed by Max ID, such appointment is in Max ID’s sole discretion and may be at the request of your Product and Service Provider or Max ID may, but is not obliged to, consider the appointment of a Natural Person nominated by you.
